Adani Group Wins Jaiprakash Associates Resolution Battle After NCLAT Dismisses Vedanta Appeal

Adani Group's resolution plan for Jaiprakash Associates Limited has received approval from the National Company Law Appellate Tribunal, which dismissed Vedanta's appeal challenging the process on Monday. The long legal fight over who gets to own one of India's most interesting — and troubled — business empires is effectively over.

Unless Vedanta heads to the Supreme Court again. But more on that later.

What Is Jaypee Associates and Why Did This Become Such a Big Deal

Jaiprakash Associates — or JAL, as everyone calls it — was once the crown jewel of the Jaypee Group. It built highways, housing projects, cement plants, and even India's only Formula One track. Then the debts piled up, projects stalled, and homebuyers were left waiting years for homes they had already paid for.

JAL entered insolvency in June 2024 after defaulting on loans totalling ₹57,185 crore. That's a massive number. And with assets spread across real estate, cement, power, hospitality and infrastructure, it was always going to attract serious buyers.

The Court Fight — From NCLT to NCLAT to the Supreme Court

  • March 17, 2026 — NCLT Allahabad bench approved Adani Enterprises' ₹14,535 crore bid.
  • March 24, 2026 — Vedanta approached NCLAT. The appellate tribunal declined to stay the deal but kept the matter under review.
  • March 29, 2026 — Vedanta took it straight to the Supreme Court seeking a stay.
  • Early April 2026 — The Supreme Court declined to grant interim relief to Vedanta, noting the matter was already before NCLAT and emphasising the need for quick disposal.
  • April 10, 2026 — Jaypee Group founder Jaiprakash Gaur publicly backed Adani, saying he fully respected the CoC's decision and had confidence in Gautam Adani's leadership to carry the group's legacy forward.
  • April 22-23, 2026 — NCLAT concluded its hearings and reserved its order.
  • May 4, 2026 — NCLAT dismissed both petitions filed by Vedanta. "There is no merit in the appeal. Both appeals are dismissed. There shall be no orders to pass," the bench said.

What Did Adani Actually Win

This is the part worth paying attention to.

  • Jaypee Greens, Greater Noida and parts of Jaypee Greens Wishtown, Noida — large residential townships with thousands of pending flat deliveries
  • 12 incomplete residential projects along the Yamuna Expressway that Adani is expected to prioritise completing.
  • Jaypee International Sports City, located near the upcoming Jewar International Airport — prime land in one of India's fastest-developing corridors.
  • The Buddh International Circuit — India's only Formula One track. Adani has stated its intent to bring F1 racing back to India.
  • Cement capacity estimated at 6.5 million tonnes across northern India, with four plants in Madhya Pradesh and Uttar Pradesh — which slots right into Adani's existing Ambuja Cements and ACC network.
  • Five hotel properties across Delhi-NCR, Mussoorie, and Agra.
  • Stakes in Jaiprakash Power Ventures, Yamuna Expressway Tolling, and several other subsidiaries

The Vedanta-Adani battle for Jaiprakash Associates was not only takeover fight but it also marks a significant landmark for India’s evolving insolvency landscape.
